Terms of Use (ToU) — AI4PLAN

In force from 27 August 2026

Translation provided for information only. These Terms of Use are drafted in French. Only the French version is legally binding (T&Cs, art. 1).

1. Purpose, scope and acceptance

These Terms of Use (hereinafter the “ToU”) set out the rules that each User undertakes to observe when accessing and using the AI4PLAN SaaS software.

They supplement the Terms and Conditions of Sale (T&Cs) entered into between AI4PLAN and the Customer, which prevail in the event of conflict. Obligations imposed on the Customer arise under the T&Cs; these ToU bind the User alone.

The ToU are accepted by each User upon their first connection to the Service. AI4PLAN retains a record of that acceptance, comprising the version accepted, its date and time, and the User’s identifier. Absent acceptance, access to the Service is not opened.

2. Definitions

Capitalised terms have the meaning given to them in article 2 of the T&Cs.

3. Conditions of access

Access to the Service requires an active Subscription and the assignment to the User of a valid Licence, on the terms of article 7.3 of the T&Cs. AI4PLAN warrants no access in the absence of a valid Subscription.

The User Account is personal and issued in the User’s name. Its Credentials are strictly confidential and non-transferable; their disclosure is prohibited, for whatever reason.

The User shall notify AI4PLAN without delay of any loss, theft or suspected compromise of their Credentials.

4. General obligations of the User

The User undertakes to comply with the law, with the T&Cs, with these ToU and with the Documentation supplied by AI4PLAN.

The User shall import into the Service only documents in respect of which the Customer holds the rights necessary for their use in that context.

The User shall report without delay any anomaly, security incident, suspicious behaviour or degradation in performance.

5. Restrictions and prohibited uses

The following prohibitions apply strictly:

Any breach may result in the immediate suspension of the User Account concerned.

6. Verification of the Outputs

The Outputs are produced by deterministic algorithms designed and developed by AI4PLAN. Those outputs nevertheless remain liable to contain errors or approximations, arising in particular from the quality, legibility or drawing conventions of the Customer Data imported. They must without fail be verified by a qualified human operator.

In accordance with article 9.5 of the T&Cs, AI4PLAN does not warrant the accuracy of the Outputs nor their fitness for any particular purpose, and their quality depends directly on that of the Customer Data imported.

The Outputs may not be used as evidential, regulatory, insurance, contractual or normative material without validation.

7. Data processing

The processing of personal data is governed by article 11 of the T&Cs and by the Data Processing Agreement (DPA).

AI4PLAN exploits the Technical Data for the purposes of operating, securing and improving the Service, on the terms of article 10.5 of the T&Cs. That exploitation is carried out on aggregated or anonymised data, to the exclusion of Sensitive Commercial Data.

Quantity take-off processing implements no machine-learning model, and Customer data is not used to train any.

The conversational agent made available within the Service relies on a service supplied by a third party, on the terms of article 12 of the DPA.

8. Security

The User shall maintain an environment complying with the prerequisites of article 7.1 of the T&Cs and with good practice: operating system and browser kept up to date, workstation protection, session locking.

AI4PLAN may automatically block any suspicious behaviour, any intrusion attempt or any unsecured connection.

9. Availability and maintenance

The availability undertakings and targets applicable to the Service are exclusively those set out in the SLA, to which article 7.2 of the T&Cs refers. These ToU create no additional warranty.

AI4PLAN may carry out scheduled or emergency maintenance operations, on the terms of articles 9 and 10 of the SLA.

The User shall cooperate in support and diagnostic operations, in particular by supplying the material needed to reproduce an incident.

10. Intellectual property

AI4PLAN retains all intellectual property rights relating to the Software, to the processing and analysis algorithms it has designed, to the databases, interfaces and methods it implements, on the terms of article 10 of the T&Cs.

No right of reproduction, extraction, adaptation or commercialisation is granted to the User.

The Outputs produced from the Customer Data belong to the Customer, who exploits them freely on the terms of article 10.4 of the T&Cs.

11. Personal character of the Licence

The User accesses the Service under the Licence assigned to them by the Customer. That Licence is issued in the User’s name and is personal: the User may neither share it nor allow a third party to access the Service by means of their Credentials.

The conditions under which the Customer may associate with its Customer Account Users outside its own personnel are set out in article 3 of the T&Cs.

12. Suspension of access

AI4PLAN may suspend or restrict access without notice where there is an established security risk, without any compensation being claimable.

AI4PLAN may suspend a User Account in the event of:

Suspension gives rise to no entitlement to compensation.

13. Limitation of liability

The applicable limitations, exclusions and caps on liability are exclusively those provided for in article 9 of the T&Cs. These ToU add no warranty.

No liability is incurred in respect of errors affecting the Outputs, their misinterpretation, a failure of human verification, or a failure of the User’s or the Customer’s environment.

14. Confidentiality

The confidentiality rules provided for in articles 11 and 12 of the T&Cs apply in full.

The User shall maintain the confidentiality of the documents and information to which they gain access in connection with the Service.

15. Force majeure

Force majeure is assessed in accordance with article 13 of the T&Cs. AI4PLAN is not liable for interruptions connected with external, unforeseeable and irresistible events.

16. Termination of access

Termination of the Customer’s Subscription, or dissociation of the User Account from the Customer Account, brings the User’s access to the Service and to that Customer Account’s projects to an end. The User Account, being personal, subsists and may remain associated with other Customer Accounts.

The arrangements for the return and deletion of the Customer Data and the Outputs are set out in article 6.4 of the T&Cs and article 13 of the DPA.

17. Amendment of the ToU

These ToU may be amended on the terms and subject to the notice provided for in article 15 of the T&Cs.

18. Governing law and jurisdiction

The ToU are governed by French law. Disputes fall within the jurisdiction of the courts indicated in article 14.5 of the T&Cs.
